1. Introduction
Welcome to SpeakLingo by Avy Labs AI Pvt. Ltd. These Terms of Service ("Terms") govern your use of our website (speaklingo.ai), waitlist, Founders Pass, and future software products. By accessing our services, you agree to these Terms.

2. Definitions
- "SpeakLingo" / "Product": The voice-to-text software application being developed by Avy Labs AI Pvt. Ltd.
- "Syping": The core voice-to-text feature within SpeakLingo
- "Founders Pass": A digital membership sold by Avy Labs AI Pvt. Ltd. granting exclusive product benefits
- "Launch": When SpeakLingo becomes publicly available for download or purchase
- "You" / "User": The individual using our services
- "Avy Labs AI Pvt. Ltd.": The company (registered in India) that develops SpeakLingo and handles its sales and billing
3. Waitlist Terms
By joining our waitlist, you agree to the following:
- You provide a valid email address for communications
- You consent to receive product updates and launch notifications
- Free Lite plan access (90 days for joining; 150 or 365 days based on social reposts) is subject to product availability and feature set at launch; equivalent value will be provided if Lite plan changes
- Waitlist position does not guarantee any specific benefits
- Waitlist count is approximate and tracked via our registration system
- You may unsubscribe from marketing emails at any time
The waitlist is free. No payment is required to join.
3A. Social Engagement Bonus Terms
Waitlist members may earn bonus Lite Plan days by reposting official SpeakLingo launch posts on LinkedIn or Instagram. The following terms apply:
Bonus Tiers
- 150 days: Repost the official SpeakLingo launch post on LinkedIn OR Instagram
- 365 days (1 year): Repost on BOTH LinkedIn AND Instagram
Previously submitted X (Twitter) reposts: Instagram has replaced X as the second qualifying platform. Members who earned bonus days via an X repost before this change keep those days in full — no action is required.
Eligibility
Bonus days are granted for valid reposts of official SpeakLingo launch posts on LinkedIn or Instagram.
Valid Repost Definition
A valid repost must:
- Be a public repost/share of the official SpeakLingo launch post
- Remain publicly visible for at least 30 days after submission
- Be from the same account associated with your waitlist email (or clearly linked to you)
Verification Rights
Avy Labs AI Pvt. Ltd. reserves the right to verify all submitted engagement (comments and reposts) at any time, before or after granting bonus days.
Revocation Rights
If submitted engagement is found to be:
- Fake, fabricated, or misleading
- Not on the official SpeakLingo launch post
- Deleted, made private, or inaccessible
- From a fake or bot account
- Low-effort comments (single emojis, single words, spam)
Avy Labs AI Pvt. Ltd. may revoke the bonus days (up to 365 days Lite Plan access) without prior notice.
No Fraud
Submitting fraudulent engagement (fake comments or reposts) may result in complete removal from the waitlist.
Final Decision
Avy Labs AI Pvt. Ltd.' decision on repost validity is final and not subject to appeal.

4.2 What Founders Pass IS
- ✓ A digital membership granting exclusive benefits
- ✓ Immediate access to Founders Dashboard and community
- ✓ Future benefits activated upon product launch
4.3 What Founders Pass IS NOT
- ✗ NOT a pre-order of SpeakLingo software
- ✗ NOT an investment or equity in the Company
- ✗ NOT a subscription to SpeakLingo
4.4 Founders Pass Pro Credit Terms
For the $49.99 Founders Pass Pro:
- • Your $49.99 is redeemable at your first subscription purchase
- • Credit is valid only for SpeakLingo subscription
- • Credit expires 12 months after product launch
- • Credit is non-transferable
- • Upon refund before launch, full $49.99 is returned ; credit is cancelled
4.5 Gift Redemption Terms
For Lite plan gifts included with Founders Pass:
- • Gift redemption requires a valid email address
- • Unclaimed gifts expire 90 days after product launch
- • Gifts are non-transferable and have no cash value
- • One gift per Founders Pass purchase
5. Refund Policy
Within 30 Days of Purchase
Full refund available within 30 days of purchase.
Request via email ([email protected]) or our refund page.
After 30 Days / After Launch
No refunds.
Your Founders Pass converts to active benefits. The $49.99 Redeemable Pass credit is applied to your subscription.
Refund Processing
- • Processing time: Within 14 calendar days (5-7 business days typical)
- • Refunded to original payment method
- • All Pass benefits are revoked upon refund

6. Launch Timeline
We are targeting product launch in Q2 2026 (April - June 2026).
"Launch" means SpeakLingo is publicly available for download or purchase with core Syping voice-to-text functionality. Beta releases with core functionality count as launch.
Product Cancellation
If Avy Labs AI Pvt. Ltd. cancels product development entirely, all Founders Pass holders will receive automatic full refunds within 60 days of the cancellation announcement.
6A. Force Majeure
Neither party shall be liable for delays or failures in performance resulting from events beyond reasonable control, including but not limited to: natural disasters, war, terrorism, pandemic, government actions, civil unrest, or infrastructure failures.
Affected obligations shall be suspended for the duration of such events. If a force majeure event continues for more than 6 months, either party may terminate with full refunds issued to Founders Pass holders .
6B. Product Features & Availability
Features displayed on our website, marketing materials, and promotional content represent planned functionality and are subject to change before and after launch.
No Guarantee of Features
Avy Labs AI Pvt. Ltd. does not guarantee that all advertised or demonstrated features will be available at launch or at any specific time. Some features may be modified, delayed, or removed entirely.
Right to Modify
We reserve the right to add, modify, or remove features at any time without prior notice. This includes features shown in screenshots, mockups, demos, or marketing materials.
Promotional Materials
All screenshots, mockups, feature descriptions, and demonstrations are for illustrative purposes only and may not represent the final product. Actual functionality may differ from promotional materials.
External Dependencies
Some features may depend on third-party services, APIs, or technologies that may become unavailable, change, or be discontinued due to reasons beyond our control.
Equivalent Value
If a core advertised feature is permanently removed before or after launch, Avy Labs AI Pvt. Ltd. will make reasonable efforts to provide alternative functionality or equivalent value where possible.
7. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW:
- Our total liability is limited to the amount you paid for the Founders Pass
- We are not liable for indirect, incidental, or consequential damages
- We are not liable for delays in product launch
- Services are provided "AS IS" without warranty
Consumer Rights Preserved: Nothing in these terms affects your statutory consumer rights that cannot be waived by contract.
8. Dispute Resolution
Governing Law: These terms are governed by the laws of India. Any disputes shall be subject to the exclusive jurisdiction of the courts in Chennai, Tamil Nadu, India.
Informal Resolution: Before filing any formal dispute, contact us at [email protected]. We commit to attempting informal resolution for at least 30 days.
EU/UK Exception: If you are in the EU/UK, you may bring proceedings in your local courts and file complaints with consumer protection authorities.
9. Assignment & Entity Structure
Sales Entity: Founders Pass is sold and billed by Avy Labs AI Pvt. Ltd. Avy Labs AI Pvt. Ltd. is the sales and billing agent for SpeakLingo products.
Product Delivery: SpeakLingo and its features (including Syping) are developed and delivered by Avy Labs AI Pvt. Ltd. Avy Labs AI Pvt. Ltd. may engage affiliated entities for product development, delivery, and support.
Assignment: Avy Labs AI Pvt. Ltd. may assign its rights and obligations under this agreement to an affiliated entity. Such assignment shall not affect your rights under these Terms. You will be notified of any change in the contracting entity.
10. Changes to Terms
We may modify these terms. For material changes:
- We will notify you via email
- Changes take effect 30 days after notification
- If you disagree, you may request a refund within 30 days of notification
11. Arbitration Agreement (US Customers)
FOR USERS IN THE UNITED STATES: You and Avy Labs AI Pvt. Ltd. agree to resolve any disputes through binding individual arbitration rather than in court, except for small claims court matters.
Arbitration Rules
- • Arbitration will be administered by JAMS under its Streamlined Arbitration Rules
- • Arbitration will be conducted in English
- • For claims under $10,000: arbitration may be conducted entirely by documents
- • Each party bears their own costs; filing fees split equally
- • The arbitrator's decision is final and binding
Class Action Waiver
YOU AND AVY LABS AI PVT. LTD. AGREE THAT EACH MAY BRING CLAIMS AGAINST THE OTHER ONLY IN YOUR OR ITS INDIVIDUAL CAPACITY, AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY CLASS OR REPRESENTATIVE PROCEEDING.
Opt-Out Right
You may opt out of this arbitration agreement within 30 days of your first purchase by emailing [email protected] with subject "Arbitration Opt-Out" including your name and email address. If you opt out, disputes will be resolved in courts of competent jurisdiction.
12. Intellectual Property
Trademarks
"SpeakLingo" is a registered trademark of Avy Labs AI Pvt. Ltd. in India. "Syping", "Avy Labs AI Pvt. Ltd.", the SpeakLingo logo, and all related names, logos, product and service names, designs, and slogans are trademarks or service marks of Avy Labs AI Pvt. Ltd. or its affiliates. You may not use these marks without the prior written permission of Avy Labs AI Pvt. Ltd.
Content Ownership
All content on speaklingo.ai, including text, graphics, logos, images, audio clips, video clips, data compilations, and software, is the property of Avy Labs AI Pvt. Ltd. or its content suppliers and is protected by international copyright laws.
Limited License
You are granted a limited, non-exclusive, non-transferable license to access and use our website and services for personal, non-commercial purposes. This license does not include the right to:
- Modify, copy, or distribute any content without written permission
- Use any data mining, robots, or similar data gathering methods
- Use our trademarks in any manner that suggests endorsement or affiliation
- Reverse engineer, decompile, or disassemble any software
Trademark Registration: SpeakLingo® is registered with the Trademarks Registry, India.
13. Indemnification
You agree to indemnify, defend, and hold harmless Avy Labs AI Pvt. Ltd., its partners, officers, directors, employees, agents, and affiliates from and against any and all claims, damages, obligations, losses, liabilities, costs, or expenses (including reasonable attorneys' fees) arising from:
- Your use of or access to our services
- Your violation of these Terms of Service
- Your violation of any third-party rights, including intellectual property rights
- Any fraudulent or misleading information you provide, including but not limited to:
- Fake or fabricated social media repost links
- False identity or contact information
- Misrepresentation of eligibility for promotions or bonuses
- Any content you submit, post, or transmit through our services
- Your infringement of any intellectual property or other rights of any person or entity
Fraud & Abuse
Submitting fraudulent repost links, creating multiple accounts to claim bonuses, or any attempt to manipulate our systems may result in immediate removal from the waitlist, revocation of all benefits, and potential legal action to recover damages.
Consumer Protection: This indemnification obligation does not apply to claims arising solely from Avy Labs AI Pvt. Ltd.' own negligence or willful misconduct, nor does it limit any rights you may have under applicable consumer protection laws.
14. Severability
If any provision of these Terms is found to be unenforceable or invalid by a court of competent jurisdiction, that provision shall be limited or eliminated to the minimum extent necessary, and the remaining provisions of these Terms shall remain in full force and effect.

- You are at least 18 years old (or age of majority in your jurisdiction) to make purchases; the SpeakLingo product may be used by individuals of any age
- You have the legal capacity to enter into this agreement
